During property purchase, mergers and acquisitions, and other property transfer situations, proper due diligence is critical to ensure that the environmental risks associated with previous activities are accurately considered. In many cases, due diligence information is the key component in the completion of a transaction to the satisfaction of all parties.

Premier personnel have designed, managed, and collected data for due diligence efforts on projects that have included large portfolios of properties in addition to individual commercial and industrial parcels.

During a typical project, Premier staff interact with the transaction legal team to establish and convey project requirements, including the scope, format, and timing of the due diligence program. Premier's project managers are typically responsible for tracking and managing the entire due diligence process, providing senior technical review, resolving issues and discrepancies, and giving the final review and approval of consultant invoices.

Premier's due diligence management services include:

  • Conducting Phase I/II/III environmental site assessments according to ASTM and lender-specific protocols;
  • Developing policy statements, protocols, and procedures for conducting environmental due diligence;
  • Developing standardized scopes of work, approach, and reporting protocols;
  • Procuring approved consultants and negotiation of master services agreements; and

Managing due diligence processes from initiation to final report completion, including administrative activities such as invoicing.

Due Diligence Staff

David Wade, P.Geo., FRM, Senior Vice-President, Environmental Risk Manager

Expertise: risk management programs, captive liability risk transfer, risk profiling, insurance underwriting surveys, insurance claims support and expert testimony, soil and groundwater remediation design, implementation and site closure, regulatory agency negotiation and strategic planning, facility decommissioning, permit acquisition, mould assessment and abatement.

David Wade is Senior Vice President responsible for Premier's Canadian Operations located near Toronto, Ontario. David is one of Canada's leading environmental risk managers who has developed environmental liability risk transfer programs using unique insurance solutions in the captive and commercial markets throughout the World. He is a Professional Geoscientist licensed in Ontario, Quebec and British Columbia, has a CRM Diploma, holds a FRM with the Global Risk Management Institute and is a graduate of the University of Waterloo in the field of Geomorphology. David has been undertaking environmental site assessments and remediation for more than 18 years and routinely provides expert testimony in support of insurance claims. He is "closure" oriented, bringing strong management and cost effective technical solutions to the aid of clients with difficult environmental liabilities that have been previously unable to obtain site closure.

Robin J. Ferber, Senior Consultant

Expertise: Brownfields redevelopment, hazardous waste characterization investigations, environmental expert witness/litigation support, Phase 1 and 2 Environmental Site Assessments, leaking UST investigations, and remedial investigation/ feasibility studies.

Mr. Ferber has been a lead consultant in several ongoing brownfield redevelopment projects located throughout Los Angeles County, California. He has extensive experience in leaking underground storage tank projects and has provided litigation support service and served as an expert witness for several clients whose properties were impacted by petroleum hydrocarbons originating from leaking underground storage tanks. He has served as an environmental expert for the Office of the City Attorney, City of San Diego, and for the State of Hawaii. He acted as the Principal-in-Charge for a characterization and remediation project, and was the lead consultant on several Phase 1 and 2 Environmental Site Assessments.
